Service Agreement
Effective Date: October 25, 2024
This Service Agreement ("Agreement") is made and entered into as of the date of booking by and between:
Capitol Vision Small Business Consulting
3909 Midlands Rd, Suite C, Williamsburg, VA 23188 ("Service Provider")
and

1. Services Provided
The Service Provider agrees to provide the following services to the Client:
Small business strategy consulting, marketing and marketing analysis education, small business financial education (e.g., entity structure guidance and credit establishment), business plan creation training, and general coaching for business formation and operational improvement.
2. Term of Agreement
This Agreement will commence on the appointment booking date and continue until the date services are rendered (generally the date of appointment completion) or until terminated by either party in accordance with Section 7 of this Agreement.
3. Compensation
The Client agrees to pay the Service Provider as follows:
The payment rate is generally $149 per hour for online or in-person consulting sessions. This fee includes industry-specific research and material preparation based on the Client’s operating location (e.g., zip code).
Payment is due at the time of booking or upon receipt of an invoice.
4. Expenses
The Client agrees to reimburse the Service Provider for any pre-approved expenses incurred while providing services under this Agreement. All expenses must be documented with receipts.
5. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary information disclosed during the course of this Agreement. This obligation will survive the termination of this Agreement.
6. Ownership of Work Product
All educational materials and documents provided by the Service Provider during consulting services remain the intellectual property of the Service Provider. Clients may not reproduce, distribute, or use these materials outside the scope of their intended purpose without express written consent from the Service Provider.
Materials, reports, and work products created by the Service Provider in connection with the services shall remain the property of the Service Provider until payment in full is received, at which point ownership will transfer to the Client.
7. Termination
Either party may terminate this Agreement with seven days' written notice to the other party for a full refund.
Termination requests made fewer than seven days before the scheduled appointment will incur a research and preparation fee equal to 50% of the agreed-upon service charge. Upon termination, the Client will pay for all services rendered (including research and material preparation) up to the date of termination.
If a refund is due to the Client upon termination, the Service Provider will process the refund within seven days of the originally scheduled appointment.
8. Limitation of Liability
To the fullest extent permitted by law, the Service Provider shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to this Agreement.
9. Notice of Meeting Recordings
Please be advised that all client sessions, whether conducted in-office or remotely, are recorded and transcribed. These recordings and transcripts are the property of the Service Provider and may be used for lawful purposes, such as session preparation, staff training, advertising, or marketing.
If you prefer to opt out of the use of your voice or image for such purposes, you may submit a written request to:

10. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia. Any disputes arising under or related to this Agreement shall be resolved in the courts located in James City County, Virginia.
11. Amendments
This Agreement may only be amended or modified in writing, signed by both parties.
12. Entire Agreement
This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements, understandings, and representations, whether oral or written.
IN WITNESS WHEREOF, the parties hereto have executed this Service Agreement as electronically agreed upon by the Client at the time of booking through Capitol-Vision.com.

2. Term of Agreement
This Agreement will commence on Appointment Booking Date and continue until Date Services are Rendered (generally date of appointment completion), or until terminated by either party in accordance with Section 7 of this Agreement.
3. Compensation
The Client agrees to pay the Service Provider as follows:
Payment terms are as specified on website and are generally $149 per hour of online or face-to-face consulting sessions. The fee includes research conducted and material preparation based on client’s industry and operating zip-codes.
Payment is due at booking or upon receipt of invoice.
4. Expenses
The Client agrees to reimburse the Service Provider for any pre-approved expenses incurred while providing services under this Agreement. All expenses must be documented with receipts.
5. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary information disclosed during the course of this Agreement. This obligation will survive the termination of this Agreement.

All materials, reports, and work products created by the Service Provider in connection with the services shall remain the property of the Service Provider until payment in full is received, at which point ownership will transfer to the Client. Educational materials provided by the Service Provided to the client are the Intellectual Property of the service provider. All and intellectual property including educational materials and educational documents provided by the Company during the course of consulting services remain the property of the Company. Clients may not reproduce or distribute any materials without express written consent.
7. Termination
Either party may terminate this Agreement with seven day written notice to the other party for a full refund. Requests for termination received less than seven days from the scheduled appointment are subject to research and preparation fee equal to one half of the agreed-upon service charge. Upon termination, the Client will pay for all services rendered (including research and material preparation) up to the date of termination. If a refund is due to the client upon termination, the Service Provider will process refund within seven days of the original scheduled appointment.

Welcome to Capitol Vision Small Business Consulting (the "Company"). By accessing or using our services, you agree to be bound by the following Terms of Service ("Terms"). If you do not agree with any part of these Terms, please refrain from using our services.
1. Acceptance of Terms
By using our services, you acknowledge that you have read, understood, and agree to these Terms, as well as any additional policies or guidelines provided by the Company.
2. Services Offered
The Company provides virtual and in-person consulting services for small businesses. Our offerings include, but are not limited to:
Business strategy development
Marketing and financial planning
Operational management
Business formation education and credit establishment
3. Client Responsibilities
You agree to provide accurate, complete, and timely information necessary for the Company to deliver its services.
You are responsible for maintaining the confidentiality of your account and any associated passwords.
Failure to provide requested information in a timely manner may result in delays or incomplete service.
4. Payment Terms
All fees for services are clearly outlined on our website and again in the booking tool used to secure services.
Payment is due upon booking or receipt of the invoice unless otherwise specified in writing.
Unpaid invoices may result in delayed or canceled services.
5. Cancellation and Refund Policy
Clients may cancel services up to one day prior to the scheduled appointment.
Refunds for cancellations will be processed within seven business days.
Refer to your Service Agreement for detailed cancellation terms and associated fees (e.g., research and preparation charges).
6. Intellectual Property
All educational materials, documents, and intellectual property provided by the Company remain the sole property of the Company.
Clients are prohibited from reproducing, distributing, or using these materials outside of their intended purpose without express written consent.
7. Confidentiality
Both parties agree to maintain the confidentiality of proprietary or sensitive information disclosed during the consulting relationship.
This obligation will survive the termination of services.
8. Limitation of Liability
To the fullest extent permitted by law, the Company shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services.
This includes, but is not limited to, loss of profits, data, or goodwill.
9. Indemnification
You agree to indemnify and hold harmless the Company, its officers, employees, and agents from any claims, losses, liabilities, damages, or expenses (including attorney’s fees) arising out of:
1. Your use of our services.
2. Your violation of these Terms.
10. Governing Law
These Terms are governed by and construed in accordance with the laws of the Commonwealth of Virginia.

11. Changes to Terms
The Company reserves the right to update or modify these Terms at any time.
Any changes will become effective immediately upon posting to our website.
Your continued use of our services following updates constitutes acceptance of the revised Terms.
